1. APPLICABILITY
1.1 The underlying MIXTREE LANGUAGES General Terms and Conditions (“Terms”) apply to all agreements (“Agreement(s)”) between MIXTREE LANGUAGES, having its registered seat at Eerste Weteringplantsoen 2c, 1017 SJ Amsterdam (“MIXTREE LANGUAGES”), and any legal or natural person (“Student”) purchasing course(s), training, classes, or similar services (“Courses”) for their own or their employee’s behalf.
1.2 In these Terms:
(a) “Working Day(s)” means Monday to Friday, excluding public holidays in the Netherlands;
(b) “Course Price” means the amount actually paid by the Student for the Course (after any discounts or promotions);
(c) “Letter of Acceptance” means an acceptance letter issued by MIXTREE LANGUAGES for visa purposes;
(d) “Enrolment Details” means the Student’s identification and course selection information provided by form, email, message, or phone, as recorded by MIXTREE LANGUAGES;
(e) “Course” means any educational service provided by MIXTREE LANGUAGES, including group courses and one-to-one lessons in person or online.
2. TERM OF AGREEMENT
2.1 An Agreement is formed when MIXTREE LANGUAGES issues a written Course Confirmation by email that (a) confirms the Student’s registration in the stated Course and (b) acknowledges receipt of the Course Price. Such Course Confirmation is sent after:
(i) receipt of the Enrolment Details (provided by completed enrolment form or by email, message, or phone and recorded by MIXTREE LANGUAGES);
(ii) verification that the Student is at least 16 years old on the date the Enrolment Details are provided;
(iii) confirmation that the Student meets the entry-level requirements (Clause 3.1); and
(iv) receipt of the Course Price in cleared funds.
2.2 The Course Confirmation issued by MIXTREE LANGUAGES, together with these Terms, constitutes the entire Agreement for the relevant Course.
3. COURSES
3.1 Levels & admission. Courses are organised by proficiency level. Admission may require a placement/intake check; eligibility is determined at MIXTREE LANGUAGES’ reasonable discretion.
3.2 Location. Courses are conducted at Eerste Weteringplantsoen 2c, 1017 SJ Amsterdam. If classrooms are unavailable, MIXTREE LANGUAGES may relocate sessions to another facility within Amsterdam.
3.3 Level change within the same run. A Student may request a level change within the same scheduled Course (not a change of dates/session). Approval is at MIXTREE LANGUAGES’ discretion, subject to availability and entry level. A second change, if exceptionally approved, may incur a €25 administration fee.
3.4 Attendance. Non-attendance of one or more lessons is at the Student’s own risk. Unless expressly provided in Clause 5, MIXTREE LANGUAGES has no obligation to refund or replace lessons.
3.5 Dates & public holidays. Course dates are published prior to enrolment. Classes may take place on public holidays. The Student is responsible for selecting suitable dates.
4. PRICES AND PAYMENT CONDITIONS
4.1 Prices. Unless otherwise stated, Course prices listed on the website are in EUR, VAT included (typographical errors excepted).
4.2 Payment due. All fees must be paid prior to the Course start date and no later than 30 days from the enrolment submission date, by cash at MIXTREE LANGUAGES’ office or by bank transfer to STICHTING MIXTREE — NL78 ABNA 0409 4668 08.
4.3 Payment methods. Cash or card on site; bank transfer; or online payment (credit card, iDEAL, or PayPal).
4.4 Invoices/receipts. MIXTREE LANGUAGES issues invoices for company enrolments; private enrolments receive a payment receipt upon payment confirmation.
5. CANCELLATIONS
Note. MIXTREE LANGUAGES is a non-profit organisation; the deductions below serve only to cover actual costs (operational, administrative, and payment processing) in the event of a cancellation.
Definition. “Course Price” means the amount actually paid by the Student (after any discounts or promotions).
5.1 Cancellations up to 11 Working Days before the start
The Student may cancel the Course by sending written notice by email to info@mixtreelang.nl, no later than 11 Working Days before the first lesson. For deadlines, the date/time of receipt by MIXTREE LANGUAGES applies.
In such case, the Course Price actually paid will be refunded less:
• €55 administration fee; and
• actual payment processing costs: iDEAL €0.32; SEPA bank transfer €0.25; cards up to 3.25%; PayPal up to 5.39% + €0.35 per transaction (extra-EEA) + €0.10 (Mollie).
Course transfer (optional). A transfer is not guaranteed and may be offered at MIXTREE LANGUAGES’ discretion, only where possible and subject to availability, to a Course commencing within the next three (3) months. Within this window, a transfer to private lessons is also permitted.
– Every transfer carries a €55 administration fee;
– If the new option costs more, the Student pays the difference + €55;
– If it costs less, the difference is refunded.
If no suitable option is available within three (3) months, a refund shall be made as set out above.
5.2 Last 10 Working Days before the start
During the last ten (10) Working Days before the first lesson, cancellations and refunds are not possible.
Course transfer (optional). One transfer may be offered at MIXTREE LANGUAGES’ discretion, only where possible and subject to availability, to a group Course only that begins within the next three (3) months, with a €55 administration fee.
– If the new Course costs more, the Student pays the difference + €55;
– If it costs less, the difference is issued as a voucher for future group Courses (not redeemable for cash);
– If no suitable option exists within three (3) months, or the Student later cannot attend the new dates, no further transfers or refunds are available and the general rule (no refunds) applies.
5.3 After the Course has started
After the first lesson, cancellations and refunds are not possible.
Exceptions (circumstances beyond the Student’s reasonable control). If the Student provides valid documentation of illness preventing attendance, accident, or bereavement of an immediate family member, MIXTREE LANGUAGES may offer one of the following:
a) Course transfer — not guaranteed; may be offered at MIXTREE LANGUAGES’ discretion, where possible and subject to availability, to a group Course commencing within the next three (3) months. The following apply:
– €55 administration fee;
– pro-rata deduction for lessons already delivered, calculated on the Course Price actually paid;
– the rules in Clause 5.2 on price differences and vouchers.
If no suitable option exists within three (3) months, transfer is not possible: see (b).
b) Pro-rata refund — a refund for the unused portion of the Course, calculated on the Course Price actually paid, less:
– €55 administration fee;
– actual payment processing costs: iDEAL €0.32; SEPA bank transfer €0.25; cards up to 3.25%; PayPal up to 5.39% + €0.35 per transaction (extra-EEA) + €0.10 (Mollie).
– €80 if a Letter of Acceptance has been issued.
5.4 Visa / Letter of Acceptance
The Letter of Acceptance is free when requested.
If the letter has already been issued and the Student cancels in a refundable period under Clause 5.1 or Clause 5.3 (exceptions), MIXTREE LANGUAGES will retain €80 in addition to the €55 administration fee and the actual payment processing costs (iDEAL €0.32; SEPA bank transfer €0.25; cards up to 3.25%; PayPal up to 5.39% + €0.35 per extra-EEA transaction).
In the last ten (10) Working Days before the start (Clause 5.2) and in cases not covered by the Clause 5.3 exceptions, no refunds are available.
5.5 Cancellations or changes by MIXTREE LANGUAGES
If MIXTREE LANGUAGES cancels a Course (e.g., due to insufficient enrolments) or postpones its start, the Student may choose either:
• a full refund of the Course Price actually paid; or
• a transfer to another Course, with no administration fee. If the new Course costs less, the difference is refunded; if it costs more, the Student pays only the difference.
Any refunds (including price differences) will be paid within five (5) Working Days of the Student’s choice.
5.6 How to cancel and refund timing
Cancellation requests must be sent by written email to info@mixtreelang.nl. For deadlines, the date/time of receipt by MIXTREE LANGUAGES applies. Any refunds due will be paid within five (5) Working Days of receipt of the complete request.
6. COMMUNICATION AND SERVICE LEVEL
6.1 Notices. All notices under the Agreement shall be sent by email to info@mixtreelang.nl.
6.2 Response time. MIXTREE LANGUAGES aims to respond to communications requiring a reply within five (5) Working Days of receipt.
6.3 Personal data. MIXTREE LANGUAGES processes Student data only to: (i) perform the Agreement; (ii) send MIXTREE LANGUAGES updates and offers; and (iii) share other relevant service communications. Data are not shared with third parties for their own marketing.
6.4 Opt-out. Upon written request, MIXTREE LANGUAGES will cease non-essential communications and continue only those required to perform the Agreement.
7. CONDUCT
7.1 Prohibited conduct. MIXTREE LANGUAGES may refuse admission or remove any Student for serious or repeated misconduct, including: discrimination or harassment; sexual harassment/misconduct (e.g., unwanted advances, sexualised comments, non-consensual contact); threats or violence; bullying or intimidation; bringing weapons; being intoxicated or using illegal drugs; or any other behaviour that seriously disrupts teaching and learning.
7.2 Measures. Depending on the situation, MIXTREE LANGUAGES may warn the Student, require them to leave immediately, or dismiss them no refunds where proportionate. Unlawful conduct may be reported to the police. This clause does not limit any mandatory consumer rights in these Terms.
8. LIMITATION OF LIABILITY
8.1 MIXTREE LANGUAGES is not liable for indirect, special, incidental, punitive or consequential damages under any theory (contract, tort, strict liability, etc.). MIXTREE LANGUAGES is not liable for theft, damage or loss of personal effects.
8.2 The Student is responsible for selecting a Course suitable for the Student’s objectives; MIXTREE LANGUAGES makes no warranty that any Course is fit for any particular purpose.
8.3 MIXTREE LANGUAGES’ total liability for direct damages related to the Agreement shall not exceed the Course fees paid or payable by the Student to MIXTREE LANGUAGES in the twelve (12) months preceding the event giving rise to the claim. Nothing in this Clause limits liability for death or personal injury caused by negligence, or for fraud.
9. IMAGE USE AND INTELLECTUAL PROPERTY
9.1 Image use. MIXTREE LANGUAGES may take photos or videos during activities for use in its materials (website, brochures, etc.), unless the Student opts out at enrolment or later by written notice.
9.2 IP rights. All materials (website content, handouts, digital resources) are owned by MIXTREE LANGUAGES or its licensors. Students may use such materials only for personal study related to the Course and may not copy, distribute or reuse them otherwise without prior written consent.
10. MISCELLANEOUS
10.1 Entire Agreement. These Terms together with the Course Confirmation constitute the entire Agreement and supersede all prior understandings. In case of conflict, the Course Confirmation prevails.
10.2 Governing law & jurisdiction. The Agreement is governed by the laws of the Netherlands. The courts of Amsterdam have jurisdiction. Before initiating proceedings, the Student shall first seek resolution via MIXTREE LANGUAGES’ formal complaints procedure (available on request).
